These Terms of Use (“Terms”) govern your access to and use of the CRM SaaS platform provided by EasyPear Technologies Inc. (“EasyPear”, “we”, “our”, or “us”). By accessing or using our platform, you agree to be bound by these Terms and all applicable Canadian laws and regulations.

If you do not agree with these Terms, you must not use our platform.

1. Eligibility and Acceptance

By creating an account or accessing our services, you confirm that you are a business entity or individual located in Canada, and authorized to use the platform on behalf of that business. You agree to comply with these Terms and any applicable provincial or federal laws.

2. User Accounts

a. Account Creation

To access key features, you must create an account and provide accurate and complete information. You agree to update your information to keep it current.

b. Account Security

You are responsible for maintaining the confidentiality of your login credentials and are liable for all activity under your account. You agree to notify us immediately of any unauthorized access or breach of security.

3. Permitted and Prohibited Use

a. Permitted Use

You may use the platform solely for your internal business purposes, including CRM management, scheduling, and related features.

b. Prohibited Activities

You agree not to:

  • Violate any law or third-party rights

  • Reverse engineer or decompile any part of the platform

  • Use bots, scrapers, or automated tools to access or extract data

  • Interfere with the performance or security of the platform

  • Attempt unauthorized access to other accounts or systems

4. Google API Integration and Data Usage

We integrate with Google services to offer features such as Google Sign-In and Google Calendar synchronization. This involves accessing sensitive or restricted scopes, including:

  • https://www.googleapis.com/auth/calendar

  • https://www.googleapis.com/auth/calendar.events

  • https://www.googleapis.com/auth/calendar.readonly

We use this data only to deliver user-facing features, including viewing, creating, editing, and managing calendar events from within our CRM system.

a. Limited Use Compliance

We strictly adhere to Google’s API Services User Data Policy, including the Limited Use requirements. We do not:

  • Use your data for advertising

  • Sell or transfer your data to third parties (outside of subprocessors)

  • Access or use your data for purposes unrelated to the CRM features

b. User Revocation

You may revoke our access to your Google data at any time by:

  • Disconnecting the integration within your EasyPear account

  • Revoking permissions through your Google Account

Upon revocation, all associated tokens are immediately invalidated, and we cease access to your data.

5. Intellectual Property

All content, features, and functionality of the platform—including software, branding, and designs—are the exclusive property of EasyPear Technologies Inc. and protected under Canadian intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the platform for business purposes only. No rights are transferred to you other than those explicitly stated.

6. Confidentiality and Lead Information

a. Data Ownership

You retain full ownership of all lead and business information stored in your account.

b. Confidentiality

We will not access, use, or disclose your data except:

  • As necessary to provide our services

  • As required by law

  • With your explicit instruction or consent

c. No Resale or Misuse

We do not sell, rent, or use your lead or account data for any non-platform purposes.

7. Data Processing and Security

a. Subprocessing

We may engage reputable third-party subprocessors for infrastructure, hosting, and analytics. All subprocessors are bound by strict confidentiality and security obligations.

b. Data Transfers

If your data is transferred outside Canada, we ensure it is protected under appropriate legal safeguards in accordance with Canadian data protection laws.

c. Data Retention

Your data is retained only as long as needed to fulfill our contractual obligations or comply with applicable legal requirements.

8. Disclaimers

The platform is provided “as-is” and “as-available,” without warranties of any kind, express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or meet your expectations.

9. Limitation of Liability

To the maximum extent permitted by Canadian law, EasyPear Technologies Inc. is not liable for any indirect, incidental, consequential, or punitive damages arising from your use or inability to use the platform.

10. Indemnification

You agree to defend, indemnify, and hold harmless EasyPear Technologies, its affiliates, officers, and employees from any claims or liabilities resulting from your violation of these Terms or misuse of the platform.

11. Modifications to the Terms

We reserve the right to update or modify these Terms at any time. We will notify users of material changes via email or through platform notifications. Continued use of the platform after such changes indicates your acceptance.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in the courts located in Ontario, Canada.
